Often UK companies working with foreign agencies will need to authorise someone else to act on behalf of the UK company. This might be an employee of the company based abroad, an agent, a lawyer or a distributor. The power of attorney document needs to be signed by a director of the UK company in the physical presence of the notary in order to produce a notarised power of attorney that meets the legal requirements of the foreign jurisdiction. This is not the only way for a commercial power of attorney to be notarised but it is the most common method and tends to be what is expected overseas. If this is not possible, the company can authorise a non-director to sign the power of attorney using a Board Resolution but the vast majority of the time, a director signing in the presence of the notary is the best way to complete these particular documents.
